KAAMB INDUSTRIES LLC

AUTHORIZED DEALER AGREEMENT

This Agreement authorizes the Dealer named below to purchase KAAMB Industries LLC products at wholesale pricing for resale, subject to the following terms.

1. DEALER AUTHORIZATION

• Dealer authorization is non-exclusive.
• Dealer is an independent reseller and may not represent itself as an agent or employee of KAAMB Industries LLC.
• KAAMB may sell directly to consumers and through other dealers, distributors, or sales channels.

2. PRICING

• Once your application is approved, KAAMB will contact you with your dealer discount code and instructions for using it on our website.
• Current MSRP is published at store.kaamb.com and may change at KAAMB's discretion.
• Dealer pricing is based on MSRP in effect when the order is confirmed.

3. ORDERS & PAYMENT

• Opening order minimum: $350 wholesale.
• Reorder minimum: $199 wholesale.
• Opening order must be paid in full before shipment or delivery.
• Accepted payment: ACH, check, or wire. Credit card payments are available upon request with a 3.7% surcharge.
• Net 30 terms may be approved after the opening order is completed and paid.
• Past-due accounts may be placed on hold and are subject to lawful late fees and collection.

4. SHIPPING

• All orders ship at Dealer's expense.
• Dealer may keep a FedEx or UPS account number on file.
• Shipping is billed at KAAMB's cost. No shipping markup.
• Shipments arranged by KAAMB include shipping insurance.
• Dealer must promptly report shipping damage or loss and retain packaging for carrier claims.

5. MAP POLICY

• KAAMB enforces a Minimum Advertised Price (MAP) policy.
• Standard MAP: Site MSRP.
• Federal holiday promotions: up to 10% off MSRP.
• Black Friday/Cyber Monday: up to 20% off MSRP.
• Military, Veteran, LEO, and First Responder discounts: up to 10% off MSRP.
• MAP violations may result in suspension or termination of dealer authorization.

6. MARKETPLACE SALES

• Amazon, eBay, Etsy, and Walmart.com sales are prohibited without written authorization from KAAMB.
• Firearm-focused marketplaces, including GunBroker, are permitted.
• Unauthorized marketplace sales may result in suspension or termination.

7. WARRANTY & RETURNS

• TRAC Tags include a 2-year replacement warranty against manufacturing defects.
• End-customer warranty claims are handled directly by KAAMB unless otherwise authorized.
• Wholesale returns require prior written authorization.
• Approved returns must be in original packaging and resalable condition and may be subject to a restocking fee.

8. TERM & TERMINATION

• Either party may terminate this Agreement with 30 days' written notice.
• KAAMB may terminate immediately for MAP violations, unauthorized marketplace sales, or invalid business licensing.
• After termination, Dealer may sell remaining inventory but may not reorder or continue representing itself as an authorized KAAMB dealer.

9. CONFIDENTIALITY

• Non-public pricing, lead times, product plans, and other confidential KAAMB information may not be disclosed without written permission.

10. GOVERNING LAW

• This Agreement is governed by Alabama law.
• Venue for disputes is Houston County, Alabama.
• KAAMB may update dealer terms with written notice.

11. ACCEPTANCE

By signing below, Dealer agrees to the terms of this Authorized Dealer Agreement.
